1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Copper Country Technologies (“Company,” “we,” “us,” or “our”), governing your access to and use of the Arden software application, including Arden Security and Arden Comply (collectively, the “Software”), and any related services, documentation, updates, or support (collectively, the “Services”).

By downloading, installing, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Software on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not download, install, or use the Software.

2. Description of Software

Arden is a Windows event log analysis tool that provides security monitoring and compliance auditing capabilities. The Software reads and analyzes existing Windows event logs to identify potential security threats, generate alerts, and map event activity to regulatory compliance frameworks.

2.1 Arden Security

Arden Security provides threat detection and alert generation based on analysis of Windows Security, System, and PowerShell event logs. It includes detection rules mapped to the MITRE ATT&CK framework, Sigma rule support, false positive triage, and a real-time dashboard.

2.2 Arden Comply

Arden Comply includes all Arden Security features plus compliance auditing capabilities that map Windows event log activity to controls across regulatory frameworks including HIPAA, PCI DSS, CJIS, CMMC, SOX, and FERPA.

2.3 What the Software Does Not Do

THE SOFTWARE IS A MONITORING AND ANALYSIS TOOL ONLY. The Software does not prevent, block, remediate, or respond to security threats. It does not replace endpoint detection and response (EDR), antivirus, firewall, intrusion prevention, or any other active security control. The Software does not guarantee detection of all threats, attacks, or security incidents. The Software does not guarantee compliance with any regulatory framework.

3. License Grant

Subject to your compliance with these Terms and payment of applicable fees, Company grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on Windows systems you own or are authorized to manage, solely for your internal business purposes.

You may not: (a) sublicense, sell, lease, rent, or distribute the Software; (b) modify, reverse engineer, decompile, or disassemble the Software; (c) remove or alter any proprietary notices, labels, or marks on the Software; (d) use the Software to provide managed services or monitoring to third parties without a separate agreement; or (e) use the Software in any manner that violates applicable law.

4. Disclaimer of Warranties

THE SOFTWARE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, COMPANY MAKES NO WARRANTY OR REPRESENTATION THAT:

No information or advice, whether oral or written, obtained from Company or through the Software shall create any warranty not expressly stated in these Terms.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COPPER COUNTRY TECHNOLOGIES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY:

ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL COMPANY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SOFTWARE EXCEED THE AMOUNT YOU ACTUALLY PAID TO COMPANY FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Company’s liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Copper Country Technologies and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

THE SOFTWARE IS ONE COMPONENT OF A COMPREHENSIVE SECURITY PROGRAM. You acknowledge and agree that:

8. Data and Privacy

The Software processes Windows event log data locally on the machine(s) where it is installed. The Software does not transmit event log data, alert data, compliance data, or any other user data to Company or any third party.

The Company does not collect, store, or have access to any data processed by the Software. You are solely responsible for the security, backup, and retention of all data processed by the Software.

If you subscribe to the early access waitlist, newsletter, or support services, Company may collect your email address and basic contact information solely for the purpose of providing those services.

9. Updates and Support

Company may, at its sole discretion, release updates, patches, or new versions of the Software. Company is under no obligation to provide updates, maintenance, support, or continued development of the Software.

Company reserves the right to modify, suspend, or discontinue the Software or any feature thereof at any time, with or without notice, and without liability to you.

10. Intellectual Property

The Software, including all code, documentation, detection rules, compliance mappings, dashboard interfaces, and related materials, is the exclusive property of Copper Country Technologies and is protected by copyright, trade secret, and other intellectual property laws.

These Terms do not grant you any ownership interest in the Software. All rights not expressly granted herein are reserved by Company.

11. Term and Termination

These Terms are effective upon your first use of the Software and continue until terminated. Company may terminate your license at any time, for any reason, with or without cause, upon written notice.

Upon termination, you must immediately cease all use of the Software and destroy all copies in your possession. Sections 4, 5, 6, 7, 8, 10, 12, and 13 shall survive termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Software shall be resolved exclusively in the state or federal courts located in the State of Michigan. You consent to the personal jurisdiction and venue of such courts.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION RELATING TO THESE TERMS OR THE SOFTWARE.

13. General Provisions

Entire Agreement. These Terms constitute the entire agreement between you and Company with respect to the Software and supersede all prior or contemporaneous communications, agreements, and understandings.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. The failure of Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or any rights granted hereunder without the prior written consent of Company. Company may assign these Terms without restriction.

Force Majeure. Company shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, cyberattacks, natural disasters, government actions, or failures of third-party infrastructure.
